University of HartfordAssistant General CounselJob DescriptionAAssumes responsibility for assisting the University’s General Counsel and Secretary in providing counsel to constituents on a wide scope of highly complex legal issues in compliance with federal, state and municipal laws. Performs all duties in full support of the University’s mission, understanding that the positive and effective execution of these duties are instrumental to the education of the University’s students.Essential Job Duties Job Duties This job description of the job is for identification and administrative purposes only. It is not intended to be a complete statement of all duties, which may be assigned by the supervisor according to varying needs.Description of Key Responsibility: Establishes, cultivates and maintains effective working relationships with University constituents, providing open-door counsel and advice on a broad range of legal issues including, but not limited to, employment and personnel issues, corporate law, intellectual property, real property and regulatory compliance, fair use of materials, advertising, gift and gift use agreements with donors, public safety, real estate and construction. Performs legal research as necessary to support and effectively inform advise provided to constituents. Represents the University’s interests with internal constituencies, external counsel, governmental agencies and others as necessary and/or appropriate.Essential Duty?: Yes Percentage Of Time: 25% Description of Key Responsibility: Provides legal expertise in the drafting, negotiation, review and revision of a wide variety of contracts including, but not limited to, commercial and academic contracts, licenses, leases, affiliation agreements, service agreements, independent contractor agreements and software license agreements.Essential Duty?: Yes Percentage Of Time: 30% Description of Key Responsibility: Actively participates in the development, review and interpretation of University policies, procedures and/or business practices in an effort to ensure compliance with legal and/or regulatory requirements and/or guidance. Reviews, drafts and advises on policies and procedures. Participates in educating the University community on legal issues.Essential Duty?: Yes Percentage Of Time: 15% Description of Key Responsibility: Establishes, cultivates and maintains effective working relationships with external vendors, law firms and/or consultants. Works closely and collaboratively with outside counsel as necessary and/or appropriate. Assists in the management of outside legal counsel and other business consultants, demonstrating and exercising commitment to fiduciary responsibility and fostering cost-effective oversight and management of the University’s legal services, associated fees and/or budgets.Essential Duty?: Yes Percentage Of Time: 10% Description of Key Responsibility: Maintains awareness of developments in areas of law affecting the University and higher education by keeping current on legal literature, actively networking with other attorneys as well as attending and participating in relevant conferences and seminars.Essential Duty?: No Percentage Of Time: 10% Description of Key Responsibility: Represents the University by serving on internal and external committees and task forces as necessary and/or appropriate.Essential Duty?: No Percentage Of Time: 10% Description of Key Responsibility: Performs other related duties as assigned.Essential Duty?: No Percentage Of Time: Formal Education:Knowledge of a highly advanced professional discipline, specifically a J.D. required. Admitted in good standing to practice law in the State of Connecticut, or admitted in good standing to practice in a jurisdiction in the United States with the ability to obtain admission in Connecticut within 12 months of hire.Work Experience:Normal office situation, Requires travel, including overnight stays.Impact of Actions:Makes decisions and final recommendations which routinely affect the activities of entire organization. Position duties may include responsibility for developing strategic plans.Complexity:Highly Complex: Work is broad in scope covering one or more complicated areas. Policy, procedure or precedent are typically created by this position. A high degree of analytic ability and inductive thinking is required to devise new, non-standard approaches to highly intricate, technically complex problems.Decision Making:Multifaceted. Supervisor is available on a limited time basis to review broad objectives. Independent judgment is required to review and approve major recommendations, establish procedures and coordinate technical and administrative recommendations with organization-wide policies. Decisions may have a long-term impact on the University of Hartford.Internal Communication:Requires developing and maintaining ongoing internal relationships involving difficult, formal negotiations. This calls for a well-developed sense of timing, strategy and may involve detailed explanation and interpretation of policies, rules and regulations. Requires the handling of extremely delicate/sensitive relationships and complex situations.External Communication:Requires developing and maintaining ongoing external relationships involving difficult formal negotiations. This calls for a well-developed sense of timing, strategy and may involve detailed explanation and interpretation of policies, rules and regulations. Formally plans, assigns, directs, and coordinates the work of these functions. Typically responsible for performing some non-supervisory duties in addition to supervisory responsibilities. May perform staff evaluations and make recommendations regarding pay and/or performance.Knowledge and SkillsAdvanced Professional Skills: The professional theory and practice of the professional skills level, but applied at the advanced level of a “seasoned” professional.
